General Terms and Conditions
of Ryll Media – Lucid Life Labs
(Status: September 2025)
§ 1 Scope and Provider
-
These General Terms and Conditions (hereinafter “GTC”) apply to all contracts concluded between Ryll Media – Lucid Life Labs, Lucas Ryll, Hölderlinstr. 8/1, 71717 Beilstein, Germany (hereinafter “Provider” or “we”) and the respective user or customer (hereinafter “Customer”) via the website www.lucid-life-labs.com as well as via the associated mobile applications and platforms (hereinafter collectively referred to as the “Service”).
-
Deviating, conflicting or supplementary terms and conditions of the Customer shall not become part of the contract unless their validity has been expressly agreed to in writing.
-
A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes which are predominantly outside his or her trade, business or profession (§ 13 German Civil Code – BGB).
§ 2 Subject Matter of the Contract
-
The Provider offers through the aforementioned platforms content, courses, workshops (both on-site and online), digital products, and app functions in the fields of sleep, mindfulness, and lucid dreaming.
-
The scope of services is determined by the respective service description valid at the time of conclusion of the contract. The Provider may reasonably amend, further develop, or adapt the Service, provided that the essential contractual performance is not significantly impaired.
-
Use of the Service is strictly limited to the Customer’s private purposes. Any use for commercial or business purposes is expressly prohibited.
§ 3 Conclusion of the Contract
-
The presentation of content and services on our website or app does not constitute a legally binding offer, but merely a non-binding invitation to submit an order by the Customer.
-
By placing an order or registering, the Customer submits a binding offer to conclude a contract. The contract shall only be concluded upon acceptance by the Provider, which is effected by an order confirmation in text form (e.g., e-mail) or by provision of the ordered service.
-
The Provider reserves the right to reject contractual offers without stating reasons.
§ 4 Registration and User Account
-
Certain functions (e.g., app access, personalized course areas) require registration. All information requested by the Provider must be provided completely and truthfully.
-
The Customer is obliged to treat access data strictly confidentially and not to disclose it to third parties. In the event of misuse or suspected misuse, the Provider must be informed without delay.
-
User accounts are non-transferable.
§ 5 Prices and Terms of Payment
-
All prices are stated in euros and include the applicable statutory VAT.
-
The available payment methods (e.g., Stripe, PayPal, credit card) are indicated on the respective service pages.
-
Unless expressly agreed otherwise, the invoice amount is due immediately upon conclusion of the contract.
-
If the Customer defaults on payment, the Provider shall be entitled to suspend access to the services until full settlement of the outstanding amount. Further rights remain unaffected.
§ 6 Right of Withdrawal
-
Consumers are entitled to a statutory right of withdrawal pursuant to § 355 BGB. Details are set out in the separate withdrawal policy.
-
In the case of contracts for the supply of digital content not supplied on a tangible medium, the right of withdrawal shall expire once the Provider has commenced performance of the contract after the consumer has expressly consented to such commencement and confirmed awareness that consent results in loss of the right of withdrawal (§ 356 (5) BGB).
§ 7 Rights and Obligations of Users
-
The Customer undertakes to use the content provided exclusively for private purposes. Any disclosure, reproduction, or public accessibility—whether for payment or free of charge—is prohibited.
-
The Customer is prohibited from disseminating unlawful, offensive, discriminatory, harmful to minors, or otherwise impermissible content in connection with the Provider’s services.
-
The Customer shall indemnify the Provider against all claims by third parties arising from a culpable breach of these GTC or applicable law by the Customer.
§ 8 Term and Termination
-
Contracts for free services may be terminated by the Customer at any time.
-
Contracts for services with a fixed term (e.g., subscriptions) end automatically upon expiry of the agreed term, unless expressly renewed.
-
The right to extraordinary termination for good cause remains unaffected. Good cause shall in particular exist where the Customer breaches material contractual obligations.
§ 9 Liability
-
The Provider shall be liable without limitation for intent and gross negligence as well as for damages resulting from injury to life, body, or health.
-
In cases of slight negligence, the Provider shall only be liable where an essential contractual duty (“cardinal duty”) has been breached, and liability shall be limited to the foreseeable, contract-typical damage.
-
Strict liability for initial defects is excluded.
-
Liability for the achievement of specific outcomes (e.g., lucid dreams, improvement of sleep quality) is excluded.
-
The above limitations of liability shall also apply in favor of the Provider’s legal representatives and vicarious agents.
§ 10 Warranty
The statutory warranty rights apply.
§ 11 Online Dispute Resolution and Consumer Dispute Resolution
-
The European Commission provides a platform for Online Dispute Resolution (ODR): http://ec.europa.eu/consumers/odr/.
-
The Provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).
§ 12 Final Provisions
-
German law shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
-
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected. The statutory provisions shall apply in place of the invalid provision.
-
Place of jurisdiction, insofar as legally permissible, shall be the Provider’s registered office.
